As businesses expand and evolve, they often look for ways to grow and increase their market share. A merger is when two companies come together to form one new entity. An acquisition, on the other hand, is when one company buys another company.
What due diligence do we do?
Our mergers and acquisition services help businesses do due diligence on the intellectual properties of the companies.
- Do they own intellectual property?
- Do they have rights to intellectual property in foreign countries?
- What is the scope of protection for their intellectual property?
- Have they let their patents and trademark expire?
What is the primary issue being answered with our mergers and acquisition service?
We focus on the fundamental inquiry of whether the target company has the intellectual property (i.e., patents, trademarks, copyrights, and trade secrets) to protect its revenue streams. Also, we identify any potential gaps in intellectual property protection. For example, we may review each patent and trademark of the target company’s intellectual property portfolio to provide advice on the scope of protection afforded under those registered rights.
We also provide an assessment of any actual or potential infringement liabilities should you purchase the target company.
